End User License Agreement

This End User License Agreement ("Agreement") is between you and Omnibus, Ltd ("we", "us"). It covers RedactFirst for Mac, iPhone and iPad and the legacy Windows version, including their updates, rule templates and documentation (the "Software"). By installing or using the Software, you agree to this Agreement. If you do not agree, do not install or use the Software.

If you accept this Agreement on behalf of a company or other organization, you confirm that you are authorized to do so, and "you" means that organization.

• "License Key" means the key for the Windows version bought through Lemon Squeezy. RedactFirst on Mac, iPhone and iPad uses App Store purchases, not a License Key.
• "Pro" means the paid features of the Software. On Mac, iPhone and iPad, monthly, yearly and lifetime plans unlock the same shared Pro entitlement; their access periods differ.
• "Major Version" means all releases of the Software that share the same first version number. For example, 1.0, 1.4 and 1.9.2 all belong to Major Version 1.
• "Computer" means a single physical or virtual computer on which the Software is installed and activated.

The free trial (the "Trial") provides a total of three (3) successful, watermark-free document exports, with their verification reports. There is no time limit or monthly reset. A document and its associated reports count as one export. Canceled attempts, verification failures and unsuccessful saves do not use an export. Retrying the same unsuccessful delivery or reopening an already saved report does not use another export.

Opening, searching, detecting and reviewing documents remain available after the three exports. Before a fourth successful document export, you must explicitly purchase a plan. Previously saved documents and reports remain available. The Trial does not automatically become a subscription and does not charge you. Automatic folder watching on Mac requires a paid plan and is not included in the Trial. The Trial is for evaluation and may not be reset or extended by technical means.

Subject to this Agreement and payment, we grant you a non-exclusive, non-transferable license to use the Software for personal or business purposes. RedactFirst is one App Store application for Mac, iPhone and iPad. A monthly, yearly or lifetime purchase grants a shared Pro entitlement across all three supported platforms when you use the same Apple Account. You can restore that purchase on your other supported Apple devices using Restore Purchases. The purchase screen on Mac offers yearly and lifetime plans; the purchase screens on iPhone and iPad offer monthly, yearly and lifetime plans. An existing monthly subscription also grants Pro access on Mac while its entitlement remains valid, even though the Mac purchase screen does not offer monthly purchases. Apple's applicable terms, Standard EULA and Usage Rules govern use on your devices; this Agreement does not restrict rights granted by those rules.

A lifetime plan is a one-time, non-consumable purchase granting perpetual access to the purchased Pro features of the purchased Major Version, including its minor and patch updates. It is not a subscription. A later Major Version or a separate future product may require another purchase; we are not obliged to release either, and a lifetime plan does not include every future product or unlimited future support. Introducing another plan or product does not remove features already purchased under a lifetime plan.

A subscription grants access to the same Pro features while its paid period or a store-verified billing grace period remains valid. Payment is charged to your Apple Account when you confirm the purchase. Subscriptions renew automatically unless canceled at least 24 hours before the current period ends. Apple may charge for renewal within the 24 hours before the current period ends. You can manage or cancel your subscription in your Apple Account subscription settings. Cancellation normally stops the next renewal and leaves access through the end of the paid period; a refund or revocation may end access earlier. Subscription expiry does not delete your saved documents or reports. The free opening and review functions remain available.

The Mac application is distributed only through the App Store. Windows licenses remain one-time purchases granting perpetual use of the purchased Major Version and its minor and patch updates. They cover the number of Computers stated in your order, with one activation per Computer. A Windows License Key does not unlock the Mac, iPhone or iPad application, and an App Store purchase does not include a Windows license. Windows development and Google Play purchasing are deferred; this Agreement does not represent them as newly available purchase channels.

On Mac, iPhone and iPad, Apple handles purchase and restoration through StoreKit. Use the same Apple Account and Restore Purchases to restore your shared Pro entitlement on another supported Apple device. Pro access requires a current entitlement verified by StoreKit, including any applicable subscription expiry or billing grace period. Locally stored preferences and purchase metadata do not independently grant paid access. A canceled renewal, an expired subscription, a pending purchase and a refunded or revoked transaction are different entitlement states; a pending purchase by itself does not unlock Pro. Purchase and restore may require an internet connection and your Apple Account. RedactFirst on these Apple devices does not activate or validate Lemon Squeezy keys.

On Windows, activating a License Key requires an internet connection. The app sends the key and a random device label, not the computer’s network name, to Lemon Squeezy. It checks an active key about every seven days and allows up to 14 days after the last successful check if the service cannot be reached. Deactivating a Windows computer frees its activation for another computer. See the Privacy Policy for details.

You may not, and may not allow anyone else to:

• share, publish, sell or otherwise distribute your License Key, or use it on more Computers than this Agreement allows;
• rent, lease, lend, sell, sublicense or otherwise transfer the Software, except as allowed by applicable law;
• reverse engineer, decompile or disassemble the Software, except to the extent that applicable law expressly permits it despite this restriction;
• remove, bypass or interfere with the license checks, the Trial limits or the copy checks of the Software;
• remove or change any copyright, trademark or other notices in the Software;
• use the Software in violation of any applicable law.

The Software helps you find and remove information from documents. It does not decide for you, and it can be wrong. You agree that:

• You are solely responsible for reviewing every document and every page, and for deciding what is removed and what is kept, before you share, file or publish a redacted copy.
• The Software's automatic suggestions, rule sets and rule templates can miss information that should be removed and can mark information that should not be. Name detection, text recognition of scanned pages and pattern matching are not complete or error-free.
• The check that the Software performs before it saves a copy looks for the specific texts and areas you selected and for the other items described in the copy's report. A passed check does not mean that all sensitive or private information has been removed from the document.
• The "Apply without review" and "Watch folder" features apply suggestions without anyone reviewing them. You are responsible for checking copies made this way before you use them.
• The Software never changes the files you add, but you are responsible for keeping backups of your documents.

The Software is not legal advice. Rule templates are examples of common office uses, not legal approval of any kind. We do not claim that the Software, its rule templates or the copies and reports it makes meet the requirements of any law, regulation, court rule, standard or contract that applies to you, and you are responsible for determining whether its results meet your obligations.

We may make updates to the Software available. If you have an active license and leave the option on, the Software downloads updated rule templates from our website at most once a day. Updated templates are added for you to choose from; your own rule sets are never changed.

The Software processes your documents locally on your computer, iPhone or iPad. If you use team sharing, documents you share are end-to-end encrypted on your device before they are uploaded, and we cannot read them. Our Privacy Policy, available in the Software and at https://redactfirst.app/legal/privacy, describes the limited information the Software sends over the internet, including for team sharing, and is part of this Agreement.

The Software includes open-source components. Each is licensed under its own terms, which are listed in the Software under Settings, Legal, Open-source licenses. Nothing in this Agreement limits your rights under those licenses.

The Software is licensed, not sold. We and our licensors own all rights, title and interest in the Software, including all intellectual property rights. All rights not expressly granted in this Agreement are reserved. The documents you work on, and the copies and reports you make with the Software, belong to you.

On Mac, iPhone and iPad, Apple handles subscriptions and lifetime in-app purchases, taxes, payment and refunds under its applicable terms. The current price, currency, billing period and renewal terms are shown by the App Store before you confirm a purchase; the storefront is the source of the price, and no fixed App Store price is promised here. Annual subscriptions are billed for the full year; a displayed monthly equivalent is not a monthly payment plan. A lifetime purchase does not automatically cancel any existing subscription, which you must manage in your Apple Account settings. Windows licenses are sold by Lemon Squeezy as reseller; its terms govern prices, taxes and payment. Refund eligibility, approval and processing time follow the applicable policies of the marketplace or payment provider where you purchased, including Apple App Store, Google Play, Microsoft Store or Lemon Squeezy, and mandatory consumer law. We do not promise a separate refund window or outcome. Request a refund through the relevant marketplace or the support link in your purchase receipt. For help finding the right channel, email support@redactfirst.app with your order ID and marketplace. This policy does not limit your mandatory consumer rights.

This Agreement remains in effect until it is terminated. It ends automatically if you fail to comply with any of its terms. When it ends, you must stop using the Software and delete it from your devices. Sections 6, 10 and 13 through 17 survive termination. We may revoke a License Key that has been refunded, charged back, shared or obtained fraudulently.

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WE DO NOT WARRANT THAT THE SOFTWARE WILL FIND OR REMOVE ALL SENSITIVE, PRIVATE OR CONFIDENTIAL INFORMATION, THAT IT WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS RESULTS WILL MEET YOUR REQUIREMENTS OR ANY LEGAL OR REGULATORY REQUIREMENT. Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS, OR FOR ANY DAMAGES ARISING FROM THE DISCLOSURE OF INFORMATION THAT WAS NOT REMOVED FROM A DOCUMENT, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE, OR FIFTY US DOLLARS (US$50) IF YOU PAID NOTHING. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so some of these limitations may not apply to you.

You agree to comply with all export and sanctions laws that apply to your use of the Software. If you are a United States government end user, the Software is "commercial computer software" and is licensed to you only with the rights given to all other end users under this Agreement.

This Agreement is governed by the laws of the jurisdiction in which we are established, without regard to its conflict of laws rules. If you are a consumer, you keep the protection of the mandatory laws of your place of residence and may bring claims in its courts. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

This Agreement, together with the Privacy Policy, is the entire agreement between you and us about the Software and replaces any earlier agreements about it. If any provision is found unenforceable, the rest of the Agreement remains in effect. Our failure to enforce a provision is not a waiver. You may not assign this Agreement without our written consent; we may assign it in connection with a merger, acquisition or sale of assets. We may update this Agreement for future versions of the Software; the version that came with your release of the Software applies to it.
